Terms
These terms cover your use of this website and the general basis on which we take on work. Every project also has a signed proposal or statement of work, and international clients also sign a master services agreement (MSA). If a signed document conflicts with these terms, the signed document wins.
Who we are
The Meridian works as a team, but it is not a company or partnership. It is legally operated by Abi Ahmad Kavindra Hendika, an individual trading as "The Meridian", based in Surabaya, Indonesia.
While we work under a team model, every contract is legally made with and signed by the sole proprietor trading as "The Meridian". Team members work on the sole proprietor's behalf and are not personally parties to any contract with you.

Using this website
The content on this site is general information about our services. We work to keep it accurate and current, but we don't guarantee it's error-free or always available.
Please don't misuse the site, for example by trying to break its security, overload it or send spam through the contact form.
Portfolio and concept work
Our portfolio shows concept builds: websites we designed and built ourselves to demonstrate our work. They are not client projects, and no one commissioned or paid for them.
The businesses in them are fictional. So are their people, products, prices, reviews, results and contact details. Any resemblance to a real business is coincidental.
Nothing on a concept site is a real offer or professional advice. You can't buy anything, book a service or hire anyone through one, and any form on a concept site is for demonstration only.
Some concept builds are hosted at their own web addresses. They're still ours, and these terms apply to them too.
Quotes and prices
Prices on this site and ballparks we send by email are estimates. A price becomes binding only once a written scope and fixed price are agreed and signed by both sides.
Prices are in US dollars. EUR billing is available on request.
Payment
- We start with a free discovery call. Once we've both agreed the scope and a fixed price in writing, a 50% deposit of that price books your project slot. We don't reserve a slot or start work before then.
- Custom web applications start with paid discovery and technical scoping ($1,500), credited to the build. The 50% deposit is then based on the fixed price agreed after discovery.
- The remaining 50% is due at launch, before handover of the final files.
- Invoices are due within 7 days and are paid through Payoneer unless we agree another method.
- If payment is late, we may pause work until it's paid. Timelines move by the length of the pause.
- You're responsible for your own bank or transfer fees and any taxes that apply in your country.
Scope changes and revisions
Each proposal sets out what's included and how many revision rounds you get. Anything beyond that is handled as a written change request. We'll tell you how it affects the price and timeline, and do the work only once you've approved it in writing (email counts).
Your responsibilities
- Give feedback, approvals and content (copy, images, logins) by the dates in the project plan. Delays on your side move the timeline.
- Make sure you own or have permission to use everything you give us, and that using it on your site is lawful.
- Review each deliverable or staging site we present and send feedback or bug reports within 7 business days. If we don't hear from you in that time, the deliverable is treated as accepted and approved for launch. Approving it, or that window passing, confirms it's ready to go live.
Inactivity and paused projects
- If we're waiting on you (feedback, content, approvals or payment) and don't hear back for 30 days, we'll email you and mark the project as paused.
- Your deposit isn't refunded during a pause. It covers the work done and the slot we reserved for you.
- To restart, tell us in writing. We'll fit you into the next available slot, so the launch date will move, and we may need to re-quote if the scope or price has changed.
- If a project stays paused for 90 days in total, we may close it. We'll then invoice for any work done beyond what the deposit covers, and hand over the work completed so far once that invoice is paid.
Intellectual property
- Ownership of the final deliverables we create for your project (designs, copy we write for you and the site's code) passes to you only once every invoice for the project has been paid in full and the funds have cleared. Until then, we own them.
- Until 100% of the project invoices are settled, we may withhold the final production files and repository, hold back launch or DNS cutover, and suspend your access to staging sites or anything we host.
- We keep ownership of our pre-existing tools, code libraries, templates and know-how. Where they're part of your site, you get a permanent, non-exclusive licence to use them for that site.
- Third-party items such as fonts, stock images and plugins stay under their own licences.
- We may show the finished work in our portfolio and marketing unless we've agreed otherwise in writing.
Confidentiality
We keep your business information private. That includes logins, analytics, customer data, plans and anything you share before it's public. We only use it to do your project or retainer, only our team sees it, and we don't share it unless you agree or the law requires it. This continues after the project ends.
Logins you give us are stored securely and used only for your work. When a project or retainer ends, we remove our access to your accounts.
Privacy
How we handle personal data is set out in our Privacy Policy.
Third-party costs
Hosting, domains, paid fonts, licences, plugins and other third-party services are paid by you, unless the quote says they're included. Accounts are set up in your name wherever possible, so you keep control of them.
Third-party platforms
Your site may rely on platforms we don't control, such as hosting, CMS, payment, email and analytics services, and other APIs and SaaS tools. We aren't responsible if one of them changes its pricing or terms, removes or changes a feature, changes or retires an API, or has downtime.
Work needed to adapt your site to a change like that is outside the original scope. We'll quote it separately, or handle it within your retainer hours if you have one.
Retainers
Retainers are billed monthly and continue until cancelled. Either side can cancel with 30 days' written notice.
Hosting, domains and analytics stay in your name and on your own bill. On a retainer, you add us as admins on those accounts so we can manage, update and monitor the site and its analytics. When a retainer ends, you remove our access, or we remove ourselves.
We're responsible for the work we do in your accounts. We aren't responsible for outages, data loss or failures on the provider's side, though we'll help you deal with them as part of the retainer. Uptime monitoring alerts us to problems; it isn't an uptime guarantee.
Post-launch bug fixes
Custom web application projects include 30 days of post-launch bug fixes: for 30 days after launch, we fix bugs caused by our work at no charge. This doesn't cover changes you or others make, third-party services or plugins, hosting outages, browser updates after launch, or new features. MVP Launchpad and Growth Engine projects don't include a post-launch bug-fix period; fixes after launch are covered by a retainer or quoted separately.
Limitation of liability
Our total liability for any project is capped at the fees you paid us for that project. We aren't liable for indirect or consequential losses, such as lost profits, revenue, data or business opportunities.
Our services are strictly business-to-business. By working with us, you confirm you're contracting for business purposes, not as a consumer. Consumer-only rights, such as cooling-off periods for distance contracts in the EU and UK, don't apply to our contracts.
Nothing in these terms limits liability that can't be limited by law, or removes rights that can't legally be excluded, such as Australian Consumer Law guarantees where they apply to a business purchase.
Ending a project
Either side can end a project with written notice if the other seriously breaches the agreement and doesn't fix it within 14 days, or for any reason as the signed proposal allows.
If a project ends early, you pay for the work done up to that point, plus any third-party costs already committed. The deposit covers work done first. Once paid, you receive the work completed so far.
Events outside our control
Neither side is responsible for delays caused by events outside its reasonable control, such as natural disasters, power or internet outages, or provider failures. If one happens, we'll tell you quickly and the timeline moves by the length of the delay.
Governing law and disputes
These terms are governed by the laws of the Republic of Indonesia. If a disagreement comes up, we'll both try to resolve it in good faith by talking first. If that doesn't work within 30 days, either side may take it to the courts of Indonesia.
For clients outside Indonesia, the governing law, jurisdiction and dispute-resolution terms in the signed MSA take precedence over this section.
General
These terms, together with your signed proposal, statement of work and any MSA, are the whole agreement between us about a project. If any part of these terms turns out to be unenforceable, the rest still applies.
Changes to these terms
We may update these terms from time to time. The version on this page applies to new projects; signed projects stay on the terms agreed when they started. Questions? Email themeridianwebagency@themeridianweb.com.
